Effective Date: 1st May 2025

These Terms of Business (“Terms”) apply to all services provided by FIARRA Studios (“we”, “us”, “our”) to the client (“you”, “your”). By engaging our services, you agree to be bound by these Terms.

1. 

Scope of Services

FIARRA Studios Ltd is a digital marketing and video production agency. Services offered include, but are not limited to, web design, digital marketing strategy, social media management, content creation, video production, PPC, SEO, branding, and marketing consultancy.

A detailed scope of work will be outlined in your project proposal or service agreement. Any work requested that falls outside of this scope will be billed at the out-of-scope hourly rate outlined in clause 6.

2. 

Fees and Payment Terms

• All fees will be agreed upon in writing before commencement of work.

   

• A non-refundable deposit may be required to secure services. This will be specified in your project proposal or invoice.

   

• Invoices must be paid in full within 7 calendar days of the invoice date unless otherwise agreed in writing.

   

• Payments not received within 7 days will incur interest charges of 8% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

   

• We reserve the right to suspend all work until outstanding payments are settled.

   

3. 

Deposits

All deposits paid to FIARRA Studios are non-refundable, regardless of project status, cancellation, or change in client circumstances.

4. 

Cancellations (Video Production Services)

For any video production services, a minimum of 48 hours’ notice is required for cancellations.

• Cancellations made within less than 48 hours may result in full or partial charges for the scheduled services.

   

• Any costs already incurred on your behalf — including but not limited to travel, accommodation, location hire, equipment rental or third-party bookings — will be charged in full and are non-refundable.

   

5. 

Client Responsibilities

• You agree to provide all necessary access, information, approvals and feedback in a timely manner to allow us to fulfil our obligations.

   

• Delays caused by lack of client input may result in revised timelines and/or additional charges.

   

6. 

Out-of-Scope Work

Any work requested outside the agreed scope of a project or retainer will be billed at a standard rate of £90 per hour, unless otherwise agreed in writing. This includes, but is not limited to:

• Additional revisions beyond the agreed limit

   

• Extra meetings or consultations

   

• New deliverables or campaigns outside the original agreement

   

7. 

Intellectual Property

• Copyright and usage rights for any creative or digital assets produced by FIARRA Studios will remain with us until full payment is received.

   

• Upon full payment, the rights to use the final deliverables will transfer to you, subject to the terms agreed in your project proposal.

   

• FIARRA Studios reserves the right to use completed work in our portfolio and for marketing purposes unless otherwise agreed.

   

8. 

Limitation of Liability

• FIARRA Studios shall not be liable for any indirect, incidental, or consequential losses arising from our services.

   

• Our total liability under any contract shall not exceed the total fees paid by you for the services under that specific agreement.

   

9. 

Force Majeure

We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including but not limited to acts of God, pandemic, strike, travel disruption or governmental restrictions.

10. 

Governing Law and Jurisdiction

These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of England and Wales. The parties agree to submit to the exclusive jurisdiction of the courts of England and Wales.

11. 

Amendments

We reserve the right to amend these Terms at any time. You will be notified of material changes. Continued use of our services after such changes constitutes your acceptance of the new Terms.
